What umbrella payroll is and how it works

An umbrella company acts as an employer for contractors, managing the PAYE payroll processing that would otherwise fall to an agency or the contractor themselves. When you work through an umbrella structure, you become an employee of the umbrella company for the duration of your engagement.

Your gross pay — agreed with your end client or agency — is processed through PAYE. Income tax and National Insurance contributions are deducted at source, and your net pay is remitted to you along with a clear payslip.

As an employee, you are entitled to certain statutory provisions. These are administered as part of your payroll record. The exact entitlements and how they operate are set by UK employment law and HMRC — we process payroll in line with those requirements.

Agencies requiring PAYE workers

Where an agency or end client requires workers to be engaged on a PAYE basis rather than self-employed, an umbrella structure allows the contractor to work in this way without the agency handling the payroll directly.

IR35 considerations

Where an engagement is assessed as inside IR35, working through a PAYE umbrella structure may be appropriate. IR35 is complex legislation — contractors should always seek independent professional advice before making decisions based on IR35 status.

The employment relationship

You become an employee of Rockwool Umbrella Solutions Ltd for the period of your engagement. The umbrella company contracts with your agency or end client to provide your services. Your employment contract is with us.

This means your income is processed through PAYE, with tax and National Insurance deducted at source, as required under UK employment law.

Margins and charges

Umbrella companies retain a margin — a fee for providing the employment and payroll administration service. We are fully transparent about any margin or fee applied. It will always be shown clearly in your payslip documentation.

We do not charge hidden fees. We do not apply undisclosed deductions. You will always know what has been taken from your pay, and why.

Statutory entitlements

As an employee, you have statutory entitlements set by UK law. These include provisions related to holiday pay, statutory sick pay entitlement, and statutory maternity or paternity pay where applicable. The exact terms depend on your employment contract and current legislation.

Your payslip

Every payment includes a full payslip showing: gross pay received from the agency or end client, any umbrella margin or service fee, employer's National Insurance contribution, income tax deducted, employee's National Insurance contribution, and net pay remitted to you.

Why is my take-home pay lower than my day rate suggests?

When you work through PAYE umbrella, your gross income includes employer's National Insurance contributions, which are deducted before tax. Then income tax and employee's National Insurance are deducted from what remains. The umbrella margin is also taken. We break all of this down on your payslip so you can see exactly where every pound has gone.

What is the umbrella margin and how is it calculated?

The margin is the fee charged by the umbrella company for providing the employment and payroll service. Our margin is fixed and disclosed clearly. It is shown on every payslip. You will know this figure before you agree to use our service.

How is holiday pay handled?

Holiday pay is a statutory entitlement for employees. How it is accrued and paid depends on your employment contract. We set this out clearly before your engagement begins, so there are no surprises about how holiday pay accumulates.

Can I see a breakdown of every figure on my payslip?

Yes. We issue payslips that show gross assignment income, employer's NIC, umbrella margin, gross taxable income, income tax, employee's NIC, and net pay. If any figure is unclear, our support team will explain it.
